Board of Directors

The ECS Board of Directors is responsible for the overall stewardship of the School–overseeing the School’s long-term health and well-being, its vision, mission and values, and its strategic and financial planning. The Board appoints the Head of School, who in turn is responsible for the academic and administrative leadership and management of the School. The Board sets the strategic institutional policies of the School as a whole, while the Head of School and School administration are responsible for the School's operating policies and procedures.

Pursuant to the Annual General Meeting of Members of Miss Edgar’s and Miss Cramp’s School held on Wednesday, November 1st, 2023, the following slate of Directors was elected for 2023-2024.

  • Annual General Meeting of Members

    The purpose of this meeting is to consider the financial statements and reports required by the Companies Act (Québec), to elect the Board of Directors to hold office until the next Annual General Meeting, to appoint an auditor for the ensuing year, and to ratify, if applicable ratify any amendments to the Code of General By-Laws of
    the School.
  • Members

    The Code of General By-Laws of the School defines members of the School as those physical persons admitted to membership by decision of the Board by reason of their interest in the School. Members shall be drawn from among Old Girls of the School, current parents, members of the Board or of the board of the Foundation, donors and other friends of the School. Persons elected to the Board shall automatically be deemed admitted as members.
  • Board Composition

    The Board is composed of thirteen (13) directors.

    of whom not less than four (4) shall be Old Girls, including the President of the Old Girls' Association who
    shall be an ex officio director; and not less than seven (7) shall be at the time of their election or re-election, current parents.
  • Committees

    Standing Committees. The Board has the following standing committees: (a) a governance committee; (b) an advancement and communications committee; and (c) a finance and facilities committee. The Board may, in its discretion, establish an executive committee consisting of at least three (3) directors.

    Ad Hoc Committees. The Board may constitute any number of ad hoc committees to fulfill particular purposes of the Board. In addition to the terms of reference of such committees, the Board shall also specify the term during which each such committee shall operate.
  • How Board Members are Selected

    The Governance Committee is responsible for managing the process for identifying and recommending candidates for nomination to the Board. The Committee has developed and uses a skills matrix to assist with reviewing the skills and experience of director candidates as well as the Board as a whole. The skills matrix outlines the desired
    complement of skills, values, attributes, expertise and experience that are important to and necessary for the proper functioning of the Board. The Board reviews and approves the skills matrix on an annual basis.

    Once Board skills gaps are identified, the Governance Committee proceeds with a targeted search for candidates who are individually and collectively well positioned to advance the mission, values, culture and programs of the School, as well as its long-term health and well-being. The Committee will seek input from the Board and from such other members of the ECS community as it considers desirable to identify potential candidates.

    Candidates who agree to be nominated will receive a welcome letter and an invitation to attend the Annual General Meeting for formal appointment by the members of the School.

The ECS Foundation Board

The Foundation was established in 1973 to support the School in achieving its objectives. With assistance from investment counselors, it undertakes to preserve and grow capital while meeting the School’s needs.
